The independent sponsor model continues to increase in popularity, the sector is becoming more professionalized, capital providers and company owners are embracing independent sponsors in greater numbers, and the market is providing opportunities that independent sponsors are uniquely poised to seize. It is against this backdrop that, year after year, we continue the analysis we began in 2017. Our annual surveys of independent sponsors from across the country explore a wide range of topics, such as deal sourcing, relationships with capital providers, deal economics, and liquidity events.

At the beginning of this year, when we began planning for Citrin Cooperman’s fourth annual Independent Sponsor Report, the economic outlook was bright. However, in the span of just a few weeks, a global pandemic ground many economies to a halt. In the midst of this seismic shift in economic reality and expectation, it was important for us to continue our independent sponsor research and capture the significance of these challenging times while exploring their implications for the future.

In a sector where one broken deal can be financially devastating and one successful liquidity event can set you up for life, the stakes have never been higher. And so this year, based upon responses from over 200 independent sponsors, we have identified “typical” terms and calculations while also finding considerable variation in economic structures. By sharing these data points, both the typical and atypical, it is our hope that independent sponsors and their capital providers will have a greater understanding as to what the market will bear.


2017 Report: The Wild West of Private Equity

A decade ago, independent sponsors were still operating on the fringes of the private equity industry. They were relatively few and far between, often fighting an uphill battle to convince companies and capital providers of their value.

Today, significant numbers of independent sponsors have entered the market, wanting to reap the benefits the model provides – better deal economics, more flexibility to choose deals, and less pressure to exit on a predetermined time frame. Yet, despite the evolution of the sector, in many ways, it is still, as one survey contributor aptly described it, the “Wild West” of private equity.
